Article I

Name

The name of the committee is the Lowell Latin Lyceum Association. It may be referred to within these bylaws as "the committee." The committee is a duly organized committee of the Friends of Lowell High School, Inc. a Massachusetts Corporation organized pursuant to Chapter 180 of the Massachusetts general laws.

Article II

Object

The object of the committee is to facilitate development of Lyceum students’ social, cultural and academic skills as embodied in good citizenship.

Article III

Membership

Section 1. Regular Membership

Every adult responsible for a child currently attending the Lowell Latin Lyceum and every official Lyceum Teacher teaching Lyceum Students is a member of the committee.

Section 2. Sustaining Members

Sustaining members will include any Business or individual, which contributes capital assets either to the association or to the endowment.

Section 3. Honorary Membership

From time to time, it may become desirable to bestow honorary membership. This would be achieved by a 2/3 vote of the committee. The duration would be determined at the time of the vote and would carry a non-voting status.

Article IV

Officers

Section 1. Designation

The officers of the organization shall consist of a Chairman, Vice Chairman, Treasurer Secretary and Assistant Secretary.

Section 2. Duties of Officers

These officers shall perform the duties prescribed by these bylaws and by the parliamentary authority adopted by the committee.

Section 3. Election

All officers shall be elected annually. The term is until a successor is elected usually one year.

Article V

Meetings

Section 1. Day

Regular meetings will be held the first Monday of each month unless otherwise ordered by the executive board. Meetings are cancelled if there is no school and may be rescheduled at the discretion of the executive board.

Section 2. Annual Meetings

The regular meeting on the first Monday in June shall be known as the annual Meeting and shall be for the purpose of electing officers.

Section 3. Quorum

A quorum shall be nine people from the membership. Votes requiring a simple majority cannot have that majority formed by a committee or sub-committee from which the motion originated.

Article VI

The Executive Board

Section 1. Membership

The officers of the committee shall constitute the executive board. In addition, there may be several directors determined by the executive board.

Section 2. Duties

The executive board shall have general supervision of the affairs of the committee between its business meetings, fix the hour and place of the meetings, make recommendations to the committee and shall perform such other duties as are specified in these bylaws. The board shall be subject to the orders of the committee and none of its acts shall conflict with action taken by the committee.

Section 3. Meetings

A regular meeting will be held the last Monday of June. Special meetings of the executive board shall be held as deemed appropriate by either the committee or the executive board.

Article VII

Committees

Section 1. Standing Committees

There will be no standing committees unless adopted by a 2/3 vote as a standing order.

Section 2. Ad hoc Committees

Ad hoc committees shall be appointed by the chairman as the committee or the executive board shall from time to time deem necessary to carry on the work of the committee. The chairman shall be an ex officio member of all committees except the nominating committee.

Section 3. Reporting

At each meeting, all ad hoc subcommittees will report on the progress concerning items that have been referred to the subcommittee by the committee or the executive board.

Significant reports should be submitted in writing to the secretary 3 days in advance of a meeting. The subcommittee should use prudence in determining "significant." A standing order determines this guideline.

All reports and recommendations of the committees and subcommittees are subject to approval by the committee before becoming official recommendations of the committee.

Article VIII

Parliamentary Authority

As adopted on December 13, 1999 the rules contained in the current edition of Roberts Rules of Order Newly Revised shall govern the committee in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order that the committee may adopt.

Article IX

Amendment of Bylaws

These bylaws may be amended at any regular meeting of the committee by a 2/3 vote provided that the amendment has been submitted in writing at the previous regular meeting.
